New obligation for business entities: Registration on e-Uprava portal

Latest amendments to the Law on Amendments to the Companies Act (“Official Gazette of the Republic of Serbia”, Nos. 36/2011, 99/2011, 83/2014, 5/ 2015, 44/2018, 95/2018, 91/2019, and 109/2021) (hereinafter: Law), which entered into force on November 27, 2021 with the delayed implementation of certain provisions, among other things, amended Article 21 of the Law, by which is introduced the obligation for legal entities to register for electronic administration services on the e-Uprava portal.

The novelty applies from May 27, 2023, and is introduced for the purpose of harmonizing with Article 40 of the Law on Electronic Administration (“Official Gazette of the Republic of Serbia”, No. 27/2018), which stipulates that the public administration body is obliged to deliver an act to the party electronically, in the form of an electronic document, and that electronic delivery to the user of electronic administration services is made to the Single electronic mailbox, unless otherwise prescribed by a law.

Business entities could be registered on the website https://euprava.gov.rs/, in two possible ways: 

  • with username and password – when registering on the e-Uprava portal; or
  • with a qualified electronic certificate of a legal representative – a qualified electronic certificate of a legal representative is required for every application on e-Uprava portal.

The legislator did not foresee penal provisions in case of failure to register on the e-Uprava portal. However, we advise legal entities to act according to the Law, because the new procedure can significantly speed up the process of submitting various decisions of competent state authorities, submitting requests, etc.

Nova obaveza za privredna društva: Registracija na portalu e-Uprave

Poslednjim izmenama Zakona o privrednim društvima („Službeni glasnik Republike Srbije”, br. 36/2011, 99/2011, 83/2014, 5/2015, 44/2018, 95/2018, 91/2019 i 109/2021) (u daljem tekstu: Zakon), koje su stupile na snagu 27. novembra 2021. godine, sa odloženom primenom određenih odredaba, između ostalog, došlo je do izmene člana 21. Zakona, kojima je uvedena obaveza za privredne subjekte da se registruju kao korisnici usluga elektronske uprave na portalu e-Uprave.

Ova novina se primenjuje od 27. maja 2023. godine, a uvodi se radi usklađivanja sa članom 40. Zakona o elektronskoj upravi („Službeni glasnik Republike Srbije”, br. 27/2018) kojim je propisano da je organ javne uprave dužan da akt u formi elektronskog dokumenta dostavi stranci elektronskim putem, a da korisniku usluga elektronske uprave elektronsku dostavu vrši u Jedinstveni elektronski sandučić, osim ako drugačije nije propisano posebnim zakonom.

Registracija privrednih subjekata vrši se na internet stranici https://euprava.gov.rs/, i to na dva moguća načina:

  • korisničkim imenom i lozinkom – prilikom prijave na portalu e-Uprave; ili
  • kvalifikovanim elektronskim sertifikatom zakonskog zastupnika – prilikom svake prijave na portalu e-Uprave potreban je kvalifikovani elektronski sertifikat zakonskog zastupnika.

Zakonodavac nije predvideo kaznene odredbe u slučaju propuštanja registracije na portalu e-Uprave, ali savetujemo da privredni subjekti postupe prema Zakonu, jer nova procedura može znatno ubrzati proces dostavljanja različitih rešenja, odluka nadležnih državnih organa, podnošenja zahteva i slično.
