Živković Samardžić advised B92, Serbia's national broadcaster and a subsidiary of Kopernikus Corporation, on transforming from a joint-stock company to a limited liability company.
This transformation was challenging due to the complex legal framework governing joint-stock companies and the lack of local precedent. Established in 1989 as a radio broadcaster in Belgrade, B92 has since expanded into a national radio and TV network with multiple websites, winning numerous international awards for journalism and human rights advocacy.
The transformation completes B92’s takeover process, with Astonko as the sole shareholder, and introduces a simplified governance structure without a Management Board. This change will streamline decision-making, enabling B92 to better respond to market challenges.
The legal team at Živković Samardžić provided comprehensive legal support and advice to B92 on all aspects of the transformation.
