Živković Samardžić advises Belgrade Nikola Tesla Airport on share capital increase

by ZS Law

Živković Samardžić, one of the Serbia’s leading full-service independent law firms, has advised Belgrade Nikola Tesla Airport (NTA), a joint-stock public company that owns and operates the largest and busiest airport in Serbia – the Belgrade airport, on its share capital increase through contribution of 28 real estate properties owned by NTA’s majority shareholder – Republic of Serbia. The Republic of Serbia, as the majority shareholder and the owner of real estate properties required for the further development of NTA, contributed those properties into NTA’s share capital, which consequently led to the new issue of shares.

This was the first time in Serbia that a public joint-stock company increased its share capital in a way of in-kind contribution by one shareholder only, leading to only one of more than four million NTA shareholders being remunerated by issuance of new shares, while excluding the preferential subscription rights of the remaining shareholders. In the context of the concession recently granted to the French airport operator Vinci Airports, for the financing, development through construction and reconstruction, maintenance and management of infrastructure of the NTA, transferring ownership of real estate properties required for the further development of NTA was among Government’s major projects planned for this year.

Živković Samardžić team that has advised NTA on the share capital increase was led by Branislav Živković and Igor Živkovski, Partners, and Sava Pavlović, Senior Associate.
