Živković Samardžić, one of Serbia’s leading independent law firms, advised South Central Ventures (SCV) on a transaction involving Dry Tools, a software development company in its portfolio. Following the deal, Alchemy Cloud Inc., a Silicon Valley-based company targeting the specialty chemicals industry, will acquire Dry Tools' technology platform and core team. In return, Dry Tools will become a shareholder in Alchemy, while SCV will become the sole shareholder of Dry Tools.
Dry Tools develops software tools that streamline the software delivery process and help development teams meet evolving product needs. Alchemy, a cloud-based SaaS platform, supports the commercialization of new formulations in the specialty chemicals industry.
SCV, which manages the Enterprise Innovation Fund (ENIF), a €40 million venture capital fund focused on innovative SMEs in the Western Balkans, was the lead investor in Dry Tools and will continue its support for Alchemy. ENIF's investors include the European Commission, the European Investment Fund, the European Bank for Reconstruction and Development, Kreditanstalt für Wiederaufbau, and other institutional and private investors.
Živković Samardžić has also supported SCV in earlier investments, including those in Dry Tools and City Expert, a tech-driven real estate startup.
“We are proud to continue supporting SCV and reinforce our position as the go-to law firm for venture and growth capital clients,” said Managing Partner Branislav Živković.
The Živković Samardžić team advising SCV was led by Partner Sava Pavlović.
